1. AGREEMENT
CEREI provides services (online courses, access to password protected accounts, email newsletters, advertising, blogs participation and webminar events) to you subject to the following Terms and conditions, which may be updated by us from time to time without notice to you. These Terms and conditions constitute a legally binding agreement by and between Cerei.org and you or your company. By using the Website and Services, You represent and warrant that You have read and understood, and agree to be bound by, this Agreement.  
2. PRIVACY POLICY  
By using the Website and Services, You consent to the collection and use of certain information about You, as specified in CEREI’s Privacy Policy. CEREI encourages users of the Website and Services to frequently check CEREI’s Privacy Policy for changes. By using the Website and Services, You represent and warrant that You have read and understood, and agree to be bound by, the Privacy Policy.  
3. YOUR REGISTRATION OBLIGATIONS  
By using the website and the services, you represent and warrant that you are of legal age to form a binding contract under the laws of the United States or other applicable jurisdiction. You also agree to: (a) provide true, accurate, current and complete information about yourself as prompted by the CEREI Service's registration form (the "Registration Data") and (b) maintain and promptly update the Registration Data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or CEREI has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, CEREI has the right to suspend or terminate your account and refuse any and all current or future use of the CEREI Services (or any portion thereof). CEREI takes seriously the safety and privacy of all its users.  
4. MEMBER ACCOUNT, PASSWORD AND SECURITY  
Upon completing the CEREI Service's registration form, you will receive via email your username and password. It is solely your responsibility for maintaining the confidentiality of the password and account, and you are fully responsible for all activities that occur under your account. You agree to (a) immediately notify CEREI of any unauthorized use of your account or any other breach of security, and (b) ensure that you exit from your account at the end of each session. CEREI cannot and will not be liable for any loss or damage arising from your failure to comply with this part of the agreement.  
5. MEMBER CONDUCT  
You understand that all information, data, text, software, music, sound, photographs, graphics, video, messages, tags, or other materials ("Content"), whether publicly posted or privately transmitted, are the sole responsibility of the person from whom such Content originated. This means that you, and not CEREI, are entirely responsible for all Content that you upload, post, email, transmit or otherwise make available via the CEREI Services. CEREI does not control the Content posted via the CEREI Services and, as such, does not guarantee the accuracy, integrity or quality of such Content. You understand that by using the CEREI Services, you may be exposed to Content that is offensive, indecent or objectionable. Under no circumstances will CEREI be liable in any way for any Content, including, but not limited to, any errors or omissions in any Content, or any loss or damage of any kind incurred as a result of the use of any Content posted, emailed, transmitted or otherwise made available via the CEREI website.  
a.upload, post, email, transmit or otherwise make available any Content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable; 
b.harm minors in any way;  
c.impersonate any person or entity, including, but not limited to, a CEREI official, forum leader, guide or host, or falsely state or otherwise misrepresent your affiliation with a person or entity; 
d.forge headers or otherwise manipulate identifiers in order to disguise the origin of any Content transmitted through the CEREI website; 
e.upload, post, email, transmit or otherwise make available any Content that you do not have a right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);  
f.upload, post, email, transmit or otherwise make available any Content that infringes any patent, trademark, trade secret, copyright or other proprietary rights ("Rights") of any party;  
g.upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation;  
h.upload, post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;  
i.disrupt the normal flow of dialogue, cause a screen to "scroll" faster than other users of the CEREI Services are able to type, or otherwise act in a manner that negatively affects other users' ability to engage in real time exchanges;  
j.interfere with or disrupt the CEREI Services or servers or networks connected to the CEREI, or disobey any requirements, procedures, policies or regulations of networks connected to CEREI, including using any device, software or routine to bypass our robot exclusion headers;  
k.provide material support or resources (or to conceal or disguise the nature, location, source, or ownership of material support or resources) to any organization(s) designated by the United States government as a foreign terrorist organization pursuant to section 219 of the Immigration and Nationality Act;  
l."stalk" or otherwise harass another; and/or  
m.collect or store personal data about other users in connection with the prohibited conduct and activities set forth in paragraphs a through m above.  
You acknowledge that CEREI reserves the right to remove comments and/or materials that do not abide by the above guidelines or that appear to be spam. 
6. MODIFICATIONS TO CEREI SERVICES  
CEREI reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the CEREI Services (or any part thereof) with or without notice. You agree that CEREI shall not be liable to you or to any third party for any modification, suspension or discontinuance of the CEREI Services (or any part thereof).  
7. LINKS  
CEREI may provide, or third parties may provide, links to other World Wide Web sites or resources. You acknowledge and agree that CEREI is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any Content, advertising, products or other materials on or available from such sites or resources. You further acknowledge and agree that CEREI shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such Content, goods or services available on or through any such site or resource. 
8. DEALINGS WITH ADVERTISERS  
CEREI takes no responsibility for the content of any ads posted on this website. Content of any ad represents the products/goods of advertisers, and in no way should be interpreted as endorsed by CEREI.   CEREI makes no warranties or representations with respect to the products/goods of any ad posted on www.cerei.org.   CEREI is not responsible for the quality of pictures or images submitted as part of an ad on this website. 
9. SETUP AND PAYMENT  
Client (registered students, advertisers) represents and warrants that (i) if any credit card payment is involved, all credit card information supplied is true, correct and complete and (ii) charges incurred by the Client will be honored by the Clients credit card company and Client is aware that all sales are final and (iii) Client shall pay charges incurred by Client and all payments are good and in effect at the time incurred, including all applicable taxes. Client shall be responsible for all payments incurred through use of Client’s password. Client agrees to keep his or her password confidential and notify the Company within 24 hours of any breach of this Contract or unauthorized use of password as CEREI does not protect Client from unauthorized use of Client’s password.  
10. COPYRIGHT  
The content, organization, gathering of information, magnetic translation, digital conversion and other matters related to the Site are protected by applicable copyrights, trademarks, and other proprietary (including but not limited to intellectual property rights and the copying, redistribution, use or publication by a Buyer of any such content or any part is strictly prohibited.  
11. EDITING, DELETING AND MODIFICATION  
CEREI reserves the right in its sole discretion to edit or delete any information or content appearing on the Site and to remove any goods or services for sale. Upon notice published over the Service, CEREI may modify this Contract, discontinue or revise any or all aspects of the Site in its sole discretion and with out prior notice. Cancellation of this Contract will be deemed effective upon publication on the Site with respect to transactions showing after said date.  
12. RIGHT TO REFUSE  
CEREI reserves the right in its sole discretion to refuse service at any time. Sale of any goods or services is subject to availability.  
13. INDEMNIFICATION  
Client agrees to indemnify CEREI and its directors, employees, agents, affiliates, licensors and suppliers harmless from any liability, loss, claim, including reasonable attorney’s fees which CEREI may suffer from Client’s activities on or use of the Service, including without limitation any breach by Client of this Agreement or any charges or complaints made by other parties against the Client, related to Client’s violation of this Contract or use of services. Client shall cooperate as fully as reasonably required in the defense of any claim. CEREI reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you; provided, however, that you shall remain liable for any such claim.  
14. DISCLAIMER  
The Service content from or through the Service is provided on an “As-Is” “basis. We do not warrant that this Service will be uninterrupted or error-free. There may be delays, omissions, and interruptions in the availability of the Service. Where permitted by law, you acknowledge that the Service is provided without any warranties of any kind whatsoever either express or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose. You acknowledge that use of the Service is at your own risk. We do not represent or endorse the accuracy or reliability of any person's advice, opinion, statement or other information displayed, uploaded or distributed through the Service by CEREI, our Partners or any user of the Service or any other person or entity. You acknowledge that any reliance upon any such opinion, advice, statement or information shall be at your sole risk. The sole and entire maximum liability of Company for any reason and Client’s sole and exclusive remedy for any cause by the Client shall be limited to the amount paid by the customer for the particular goods or services purchased. Company and any of its affiliates, dealers or suppliers are not liable for any indirect, special, incidental or consequential damages (or damages from loss of business, loss of profits, litigation, or the like),or losses based on breach of contract, breach of warranty, tort (including negligence, product liability or otherwise, even if advised of the possibility of such damages). The limitations of damages set forth above are fundamental elements and the basis of the bargain between Company and Buyer. This Site and goods and services would not be provided without such limitations. Some State statutes may differ regarding limitation of liability. We do not represent or endorse the accuracy or reliability of any advice, opinion, statement or other information displayed, uploaded or distributed through the Service by CEREI or any user of the Service or any other service. Your continued use of the Service now, or following the posting of notice of any changes in this Agreement, will constitute a binding acceptance by you of this Agreement, or any subsequent modifications.  
15. ACKNOWLEDGEMENT  
This agreement represents complete understanding between you and us regarding your relationship to Online and supersedes any prior warranties or representations.
